Delegation of Authority Assessment
Delegation of Authority Assessment
Boards often believe delegation is clear because a policy exists.
The issue shows up when decisions come back to the board after management has already acted, when CEOs bring matters forward “for visibility”, or when directors move into operational detail without anyone naming the boundary.
The assessment works whether you already have a Delegation of Authority or are starting from informal practice. It gives Chairs, CEOs, Directors and Company Secretaries a structured read on whether delegation is working in practice, with a reasoned conclusion on what, if anything, to do next.
What it covers
Ten questions across:
- authority and reserved powers
- role boundaries and escalation
- decision records and operational use
What you receive
- A completable Delegation of Authority Assessment (PDF with response fields)
- An interpretation of the gaps and uncertainties identified in your responses
- A reasoned conclusion, including whether any further action is needed
- A one-page summary you can share with the Chair, CEO or Company Secretary, or table at a board meeting
This is for your board if
- decisions are being revisited after management has already acted
- the CEO escalates matters for comfort or visibility
- directors move into operational detail, or speak to executives outside formal channels
- your DoA exists but is rarely used in board papers, reporting or decisions
- the board would struggle to show who had authority for a major decision
